Terms of Service

1. Acceptance of Terms

By accessing or using GoldHold ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is operated by All Auto Tunes LLC ("we," "us," "our").

2. Account Registration

To use GoldHold, you must provide a valid email address. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must be at least 13 years old to create an account.

3. Service Tiers

GoldHold is available in the following tiers:

• GoldHold Lite (Free): Managed memory with 1 agent and 1 folder. Zero configuration. No credit card required. BYOK available as an advanced option.
• GoldHold Vault ($9/mo): Everything in Lite with expanded limits, plus GitHub file sync for receipts, daily notes, and config. Includes a 7-day free trial.
• GoldHold Vault Pro ($7/mo billed annually at $84/yr): Everything in Vault, plus Cloudflare R2 vault storage and expanded namespace capacity. Includes a 7-day free trial.

Features, pricing, and tier definitions may change during the beta period. We will make reasonable efforts to notify existing subscribers before material changes take effect.

4. Free Trial

Paid plans include a 7-day free trial. A valid payment method is required to start a trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically begin and you will be billed at the applicable rate.

5. Billing & Cancellation

All payments are processed by Stripe. You can manage your subscription, update payment methods, and cancel at any time through your account page or the Stripe billing portal.

Upon cancellation, you retain access through the end of your current billing period, then your account transitions to GoldHold Lite (free). During this transition:

• Your first serial number is downgraded to Lite tier limits (your agent continues to function)
• Additional serial numbers beyond the Lite allowance are revoked
• Your API key remains active with reduced rate limits (10 requests per minute)
• Your memories remain in your private namespace and are not deleted
• Dashboard access continues via the Lite tier
• BYOK users retain all data in their own infrastructure regardless of plan status

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to reverse-engineer, decompile, or disassemble the Service
• Interfere with or disrupt the Service or its infrastructure
• Resell or redistribute the Service without written permission
• Use the Service to store or transmit malicious code
• Exceed reasonable usage limits or abuse API access

6a. Ethical Use Policy

GoldHold is built to help people work better with AI. You agree not to use the Service to:

• Facilitate harassment, stalking, doxxing, or targeted abuse of any individual or group
• Generate, store, or distribute hate speech, violent extremist content, or content that promotes discrimination
• Conduct unauthorized surveillance of individuals, organizations, or systems
• Develop, support, or enable weapons systems, including autonomous weapons or targeting systems
• Impersonate real people, organizations, or government entities for deceptive purposes
• Create or distribute disinformation, deepfakes, or synthetic media intended to deceive
• Exploit, harm, or endanger minors in any way
• Manipulate markets, conduct fraud, or facilitate money laundering
• Circumvent safety mechanisms, content policies, or access controls of any AI system or third-party service
• Engage in any activity that a reasonable person would consider harmful, deceptive, or unethical

Violations of this ethical use policy are grounds for immediate termination of your account without notice or refund. We reserve the right to report suspected illegal activity to the appropriate authorities.

7. Intellectual Property

GoldHold is a trademark of All Auto Tunes LLC. The GoldHold memory system architecture is Patent Pending. All code, designs, documentation, and branding are owned by All Auto Tunes LLC. Your use of the Service does not grant you any ownership rights to our intellectual property.

You retain full ownership of your data, memories, and content stored through the Service.

8. AI Agent Disclaimer & Assumption of Risk

You acknowledge and agree that:

• AI agents are autonomous software systems whose outputs, decisions, and actions are inherently unpredictable and outside the control of All Auto Tunes LLC
• GoldHold provides memory persistence only. it does not generate, validate, endorse, or guarantee the accuracy, safety, legality, or appropriateness of any AI agent output or action
• The data stored in your memory index is your data, created by your AI agents, under your control. All Auto Tunes LLC has no visibility into, access to, or responsibility for its contents
• You are solely responsible for reviewing, validating, and approving any actions taken by AI agents using GoldHold memory, including but not limited to: code execution, file modifications, API calls, communications, financial transactions, and business decisions
• AI agents may produce inaccurate, harmful, biased, or inappropriate outputs regardless of what memory is available to them. persistent memory does not make AI agents more reliable, safe, or trustworthy
• Installation and configuration of GoldHold scripts, hooks, watchers, and integrations modify your system environment. You assume all risk associated with these modifications
• GoldHold integrates with third-party services (Pinecone, GitHub, Cloudflare R2, etc.). All Auto Tunes LLC is not responsible for the availability, security, or conduct of those services

By using GoldHold, you assume all risk arising from AI agent behavior, outputs, decisions, and actions. whether or not those agents use GoldHold memory. All Auto Tunes LLC shall have no liability for any damages, losses, costs, or consequences arising from AI agent conduct.

Beta Software: GoldHold is currently in beta. The Service may contain bugs, errors, and incomplete features. Features, APIs, pricing, and functionality may change, break, or be removed at any time without notice. All Auto Tunes LLC makes no commitment to maintain backward compatibility during the beta period. By using the beta, you acknowledge that the Service is not yet production-ready and you accept additional risk accordingly.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or uninterrupted operation.

Without limiting the foregoing, All Auto Tunes LLC makes no warranty that: (a) the Service will meet your requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) any stored data will be accurate, complete, or preserved indefinitely; (d) any defects will be corrected; or (e) the Service will produce any particular outcome when used with AI agents.

10. Limitation of Liability

To the maximum extent permitted by applicable law, All Auto Tunes LLC and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for loss of profits, revenue, data, goodwill, business opportunities, or other intangible losses, arising from or related to:

• Your use of or inability to use the Service
• Any actions, outputs, or decisions made by AI agents. with or without GoldHold memory
• Unauthorized access to or alteration of your data or transmissions
• Any bugs, errors, or inaccuracies in the Service
• Any damage to your computer systems, data, or files resulting from installation or use of the Service
• Any third-party service failures (Pinecone, GitHub, Cloudflare, Stripe, or others)

Our total aggregate liability for all claims arising from or related to the Service shall not exceed the lesser of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred dollars ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless All Auto Tunes LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) any actions, outputs, or decisions of AI agents using GoldHold memory; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your content or data stored through the Service.

12. No Refunds

All paid plans include a 7-day free trial. You will not be charged during the trial period. If you cancel before the trial ends, you will not be charged. After the trial period, all payments are non-refundable. You may cancel your subscription at any time through your account page. cancellation takes effect at the end of your current billing period.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our sole discretion. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately, but your data in your own Pinecone index, GitHub repo, and R2 bucket remains yours.

14. Governing Law

These Terms are governed by the laws of the State of Wisconsin, United States, without regard to conflict of law principles.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Wisconsin, USA, under the rules of the American Arbitration Association. You agree to waive any right to a jury trial or participation in a class action.

Small claims exception: Either party may bring an individual action in small claims court in Dodge County, Wisconsin, if the claim qualifies.

Fee shifting: For claims where the amount in controversy is less than $10,000, All Auto Tunes LLC will pay the arbitration filing fee.

Opt-out: You may opt out of this arbitration agreement by sending written notice to support@goldhold.ai within 30 days of creating your account. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.

16. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated date. Continued use of the Service after changes constitutes acceptance. For material changes, we will make reasonable efforts to notify you by email.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. Force Majeure

All Auto Tunes LLC shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, power failures, internet disruptions, or third-party service outages.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and All Auto Tunes LLC regarding the Service and supersede all prior agreements, understandings, and communications.

20. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. All Auto Tunes LLC may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

21. Waiver

The failure of All Auto Tunes LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
